Ownership structure and business form planning for new businesses

Business can be done under many different company forms or structures. Choosing the right form when starting a new business requires careful consideration and the observation of the business owner’s or owners’ situation.

The typical forms of business in Finland are the following:

  • Sole trader or sole proprietor
  • General partnership
  • Limited partnership
  • Limited company
Differences between these forms pertain to taxation, governance and the entrepreneur’s responsibility for the company’s obligations. It is important to observe from the beginning that the form of business can, under certain conditions, be changed later.

If more than one person operates the company, it is also important to consider in what ways and with what holding each of them takes part in the operations. To give an example, it is possible to invest in a limited company in more ways than just one.
